History, Present Business and Background

Alphaniti Investment Advisors (hereinafter referred to as “AIA”) is a separate Investment Advisory division under Alphaniti Fintech Private Limited (hereinafter referred to as “the platform”, previously known as “Finaureus Technologies Private Limited”) that holds a SEBI Registered Investment Advisory license bearing registration number INA000009481 under SEBI (Investment Adviser) Regulations, 2014. The registered address of the company is 401 & 402, Airawat Building, Plot No. 12B, S. No. 6/1/7, Baner, Pune 411045.

Affiliation with other intermediaries

There are no affiliations with other intermediaries except Brainstormerz Research and Data Analytics Pvt Ltd. which is a SEBI Registered Research Analyst bearing registration number INH000009719 under SEBI (Research Analyst) Regulations, 2014.

Alphaniti Fintech Private Limited has empanelled various financial intermediaries and/or financial institutions and/or individuals for promoting/distributing its various investment themes including availing their advisory/distribution/onboarding platform(s)

Disciplinary History / Complaint Status

AIA has neither been suspended nor debarred from doing business by any Stock Exchange/ SEBI or any other authorities; nor has its certificate of registration been cancelled by SEBI at any point in time. The Company is not engaged in merchant banking, investment banking, or any brokerage services.

No penalties/directions have been issued by SEBI under the SEBI Act or Regulations made there against the Company or its Partners, or employees relating to Investment Advisory services.

There are no pending material litigations or legal proceedings, findings of inspections or investigations for which action has been taken or initiated by any regulatory authority against the Company or its Partners, or employees. Scope of Services and Offerings

AIA through its dedicated Team focuses on identifying and recommending attractive and emerging investment themes.

AIA undertakes that all such Investment Advisory services offered to any subscriber shall not be binding whatsoever on the subscriber and the subscriber shall be free to implement or execute partly or fully the services with any distributor/broker/intermediary of his/her/its choice.

Prospective investors should make an independent assessment based on their investment objectives and individual risk appetite and should consult their own financial advisor and/or tax advisor before taking any investment decision with respect to investment themes offered by AIA.

Risk Profiling and Suitability

AIA strives to understand the risk profile of the subscribed user and ensure suitability of the advice provided to the user. For the same, AIA conducts the following steps:

1. Before subscribing to any subscription plan or payment of AIA fees, the user is asked questions to determine their risk profile. On completion of the questions, a risk category is assigned to the user and the same is communicated to the user by email. The same can also be seen and changed in the Customer Profile section of the platform.
2. For each of the advisory products managed by AIA, AIA specifies the Investment Objective of the product and the minimum risk category suitable for the product. Unless specifically mentioned, the Investment Objective of all the products managed by AIA is “Wealth Creation”.
3. The user should validate the suitability of the investment objective of the product to meet his/her requirement prior to investing in the same. In case the user chooses to invest in the product, AIA assumes that the investment objective of the product satisfies the requirement of the user.
4. When investing in a product managed by AIA, the platform validates the risk profile of the user against the minimum risk profile of the product. In case of a mismatch, a warning message is giving to the user. Only after confirmation that the user wants to still proceed, the user can proceed with investing in the product.

Risk Factors

The value of the investments made by the subscribed user and the expected returns may be affected generally by factors affecting financial and securities markets, such as price and volume, volatility in interest rates, currency exchange rates, changes in regulatory and administrative policies of the Government or any other appropriate authority (including tax laws) or other political, economic, and other developments as detailed below:

Companies Risk: The performance of the model investment themes will depend upon the business performance of the companies included in that investment theme and their prospects. AIA focuses on studying business and sustainability with a focus on studying the balance sheet will help the AIA in mitigating these sector or company risks.

Valuation Risk: AIA will assess the valuations for the stocks included in the investment themes from varied valuation parameters in order to establish whether the valuations are reasonable while creating the model investment themes and reassess the same from time to time.

Market Risk: AIA endeavours to create an investment theme using bottom-up fundamental research rather than trying to time the markets. However, in order to mitigate Market Risk, the AIA will monitor and analyse the market and economic circumstances from time to time that may affect the performance of these investment themes.

Liquidity Risk: While investing in equities, liquidity constraints are potential near-term risks while investing and disinvesting. The AIA endeavours to mitigate these risks by investing and creating an investment theme with a medium to long-term time horizon.

Service Provider Risk - AIA is reliant upon the performance of third-party service providers for their functions. Weak control over technology used in the third-party arrangement may result in threats to the security and the integrity of systems and resources, which can have a materially detrimental impact on the operations of the AIA. These issues could result in unauthorized transactions or the inability to transact business as expected. AIA endeavours to mitigate these risks by entering into the arrangement with regulated entities and/or incorporating an indemnity clause in the agreement entered with service providers.

Other Risks: Certain investment themes offered by AIA may be suitable for clients with an “Aggressive”/ “High Risk” risk profile which carries a risk of substantial or permanent capital loss. AIA does not offer any assured/guaranteed returns. Investments in securities are subject to market risk. Please read the Key Information and Disclosure Document carefully before investing.

Conflict and Disclosure of Interest

AIA and the platform will be transparent and make disclosures with respect to any conflict of interest situation that the AIA determines may have arisen (or which seems likely to arise) between the Relevant Parties and the various activities of AIA (or any of its investee entities).

AIA maintains and operates effective organisational and administrative arrangements with the view of taking all reasonable steps to identify, continuously monitor and manage conflicts of interest. AIA may identify additional conflicts of interest situations from time to time, which will be managed/mitigated with the help of the principles identified herein and by also taking into account further processes which AIA may develop over the period of time.

We and our Associates, Officers, Directors, and Employees, Research Analyst (including relatives) worldwide may: (a) from time to time, have long or short positions in, and buy or sell the securities thereof, of the company(ies) forming part of the investment themes or reports created by the company or (b) may have other potential/ material conflict of interest with respect to any company(ies) in various investment themes or reports created by the company.
